Under the background of globalization, more and more overseas non-governmental organizations come into China, which means the cooperation and communication between overseas NGOs and Chinese government have become increasingly frequent. For China, this is not only the opportunity for social development, but also the challenge for national governance capacity. In view of the problems existing in the overseas NGOs governance, it is urgent to perfect the relevant legal system.Starting from the basic theories of governance and NGO, and making full use of literature analysis, case analysis and comparative analysis, this paper provided an overall study on the present situation and its reasons systematically. Then, it drew lessons from the United States'and Russia's governance mode for overseas NGOs. By comparing the actual situation in China, the paper concludes some inspirations. It suggested that the governance should be based on current practice, clarify both rights and responsibilities, and implement full process supervision. All these are in order to perfect the legal system of overseas NGOs governance.The research on legal system of overseas NGOs governance, combined management science with politics and law, which broaden the guidance range of third-party management theory. Besides, it can inspire the governance of community and other international organizations. At the same time, how to govern overseas NGOs effectively is a topic combined theory and practice. The research on this topic reflects the need to advance modernization in the state governance system and governance capability, and to push forward the rule of law in an all-round way. In addition, it has positive significance for promoting the innovation of the social governance system, and guiding overseas NGOs' activities be in accordance with law. The paper is aimed at providing a theoretical basis for govern overseas NGOs' activities legally, and promoting government administrator to perfect the short board of legal system, which will also help eliminate the adverse factors affecting the social stability, and then promote the harmonious development.
