Since 2000, M&As expansion means of the enterprises in China has been rapidly developed. M&A has already became China’s the most important tool to adjust economic structure, eliminating backward production capacity. However, as nothing can be smooth sailing, the same as M & A. In recent years, some M&As lead to failures, and force the enterprise to bankruptcy evently, such as TCL acquired the famous Thomson,ended with loss; In the acquisition of Rio Tinto, Chinalco’s initial investment, the losses were more than 70%. There are many reasons for it, and each has its own reasons, the most one is M&A strategy formulation misconducting. Therefore, on the basic study of the classic case, to summarize the formulation of strategic M&As, to guide enterprises develop good strategy of M&As, has important theoretical and practical significance.In this paper, Midea Group mergers and acquisitions(such as acqusitions Hualing and Roysltar in 2004, acqusitions Little swan in 2008. By the end of 2010 basically completed the integration of three companies). To find the Midea Group how to realizing value creation and development, Through the analyzing background, motivation, effects and process. It can provide reference.Firstly, through literature analysis, we find the problems in current research, key and difficult problems in the process of enterprise’s M&As; Secondly, with the help of classic motivation theory and strategic theory, we enhance theoretical basis for the paper; Thirdly, taking the Midea Group’s three classic case of mergers and acquisitions as the research object, analysis and Research on the relationship between merger strategy and enterprise development strategy of Midea Group merger process. The fifth chapter is the focus of the article. Explore the M&A strategy’s key role in the merger process and effect, through the analysis of Midea Group merger process. Finally, according to the research conclusion, put forward the corresponding policy and suggestions, and point out the main problems in the research and development direction in the future.
