Multi-location space organization of Multinational companies cultivates the division of international labor and build the global production network, which deeply influences nations and regions. Meanwhile, the enterprise origination structure of multinational company is deconstructing and recombining that leads to the reintegrating work and reassignment of global production so that every local district can optimize their own location to realize the global value chain upgrading.Shanghai is the forward position of China’s reform, the development of which is deeply influenced by multinational companies especially the Japanese enterprise. And Shanghai is committed to the transformation and upgrading in the global network. By means of the game theory between foreign multinational companies, the foreign investments in Shanghai can upgrade from junior to senior, transform from manufacturing industry to service and migrate from overseas’production base to the headquarters and global cities in order to achieve the goal of the establishment of the international heart city. Therefore, Japan-funded textile and garment enterprise is the typical example of the traditional industrial transformation during investment.Based on the theory of foreign investment of multinational companies and enterprise spatial organization, this paper built up the new theory framework which uses multinational companies’spatial organization as a link. It regarded the data (1979-2012) of Japanese textile and garment enterprises which invested in Shanghai as research object. Using the Arcgis software, sample analysis and function analysis method to study the spatial organization evolution of Japanese textile and garment enterprises in Shanghai, it systematically analyzed how multinational companies compete with the host country during the process when they invest in the host country as the changes of world economy. At the same time, it systematically analyzed how the host country seize the opportunity initiatively guide the direction of multinational companies, so as to realize the upgrading of its own.The research results shows that spatial distribution of Japan-funded textile and garment enterprises in Shanghai present the evolution characteristics of suburb-downtown, diffusion-gathering, single center-single core multi center-double core multi center-single center. Organizational structure presents the evolution characteristics of upper middle lower stream-middle stream, production-trade-R&D and districts’headquarters. Spatial organization presents the evolution characteristics of Japan and Shanghai-Shanghai-Japan, Shanghai and Southeast area as well, which realizes the transformation of Japan-funded textile and garment enterprises and upgrading the ability of making use of foreign investment in Shanghai. Whereas, the early suburbanizaition gives priority to manufacturing that is mainly influenced by preferential policy of national and municipal industrial park, accumulative effect and living supporting facilities service such as Japanese schools and medical service hospitals. The latter center city gives priority to trade service, the gathering layout of which is mainly influenced by accumulative effect and supporting facilities service of Hongqiao economic and technological development zone.Shanghai has upgraded in the global production network of Japanese-owned textile and garment enterprises. However, because of the lack of enough strategic assets and a strong awareness of risk of Japanese and the imperfect protection mechanism of IPR protection in Shanghai, to guide their investment motive to seek asset-based development.
