| Under the background of global integration, transnational Merger & Acquisition has been to one of the most important types of foreign investment. In the past, our enterprises didn’t participate in much, less experience and less successful cases. But from the financial crisis in 2008, the European and American enterprises are generally affected by the crisis, and the transnational M&A has slowed down, the subject of M&A has changed from the developed countries to emerging economies and developing countries. More and more Chinese enterprises realized that transnational M&A brought benefits in technology, marketing, brand, management and etc., and eager to go out and deal with M&A. But our enterprises, especially private ones still have some disadvantages such as lack of experience, backward technology, management confusion etc. Generally lack of the corresponding international competitiveness. So, as a relatively weak enterprise they has become an urgent problem to be solved that how to find a suitable way in transnational M&A, how to provide better guidance to our enterprises in transnational M&A by theoretical research.This thesis is divided to four chapters. The first chapter: introduces the topic background and significance, main content, ideas and methods of research, the innovation etc. The second chapter: case introduction, the basic situation and the implementation process of M&A are introduced in more details. The third chapter: case analysis, mainly explain the successful experience and deficiencies. The forth chapter: summary.This thesis uses the transnational M&A case of Q enterprise, describes the whole process of the case in a relative system and objective direction, by relevant theory, analyzes and summaries this case, extracts the successful experience from this case which can be extracted by other enterprises. Also analyzes the case shortcomings, and offers the solution. It has certain reference for Chinese enterprises who are dealing with transnational M&A. |
