Nowadays, Chinese iron and steel industry gets into shrinking market, many enterprises began to loss and have to struggle in the market because of steel’s low price. The new situation decides iron and steel industry to strengthen the integration and speed up the adjustment of industrial structure. The enterprises improve their core competitiveness through merger、acquisition. reorganization and modifying the industrial structure. In order to achieve the purpose of restructuring, the most importance is to restructure enterprise’s internal management. How do the enterprises implement effective control? How to give full play to the integrated advantage and realize the maximum benefits of enterprise? Therefore, there is certain theoretical value and application value to research this problem.This article analyzed the different control models in different stages、especially analyzed the control of restructured enterprises and pointed out existing problems and put forward some suggestions. There are seven chapters in the research. The first chapter is instruction, which introduced the research background, purpose, the research value and literature review. The fourth chapter introduced briefly the background, plan and process of passive restructuring in Pingxiang steel. The third chapter analyzed the control mode and the management effect of Pingxiang steel, pointing out the cause of the problem. The second chapter summed up the concept of enterprise group control in detail, which mainly stated from the concept of control, content, goals, and the theory of centralization and decentralization. The fifth chapter researched the control mode and operation effect of Pingxiang steel after reorganization; The sixth chapter analyzed the problems and reasons existing in the current model and put forward solution. The seventh chapter is conclusion and prospect, which summarized the essence of the study.Through the study the author found that the reorganization enterprise should fully consider the various factors which influence the maximum benefits, not only paying attention to inspire staff’s enthusiasm, but also realizing risk control. the real advantage of enterprise integration.On the basis of research on pingxiang steel,the research has important reference value on how Chinese steel enterprises implement effective management, enhance enterprise competitiveness. At the same time, the research also has certain effect on improving the enterprise’s confidence to merger and reorganize.
