Research On The Financial Effect Analysis Of DW M&A ZQ

Throughout the history of global mergers and acquisitions, the western countries have experienced 5 wave of mergers and acquisitions since the end of nineteenth Century, it promotes the expansion of enterprises, and plays a key role in the development of western economy. And the rise of domestic M & A activities in the 90’s of last century, we should see that China’s M & A activities started late, developed rapidly. Inevitably there will be some problems in the process of transformation and development. How to avoid blind mergers and acquisitions and enhance the effectiveness of their own mergers and acquisitions, and pursuit the synergy of mergers and acquisitions, becomes a new topic of our research. The financial effect is an important part of the synergy effect, which is the effect of M & A to the financial aspect of the enterprise. The pursuit of the financial effects of mergers and acquisitions is one of the main reasons for China’s mergers and acquisitions in recent years, and it is also an important factor to determine whether it is a success. So the research on the financial effect of M & A is conducive to the promotion of the implementation of the strategy of M & A, which needs the enterprise stand in an invincible position.In recent years, network game industry gains its flourishing, and a large number of Internet companies promote a new round of prosperity in domestic game market. It leads a big income in the amounts of mergers and acquisitions in this field. In this paper, it takes the first unit of the A shares in 2013 ZQ mobile game concept acquisition DW as sample, bases on theoretical analysis, case description, effect analysis, draw conclusions for the analysis of the financial effects of mergers and acquisitions. Such a large-scale mergers and acquisitions in network game industry have its significance in network game or other enterprise cases study.This thesis combines quantitative analysis and qualitative evaluation to give a further discussion in ZQ M & a DW financial effects are discussed in this paper. This article structure can be divided into the following four parts:the first part, introduction. Including the research background, research significance, research content and methods of these three aspects; the second part, the related theory of M & A. This part includes the related concepts and theoretical basis of M & A, the third part, the summary of the enterprise situation. This part includes the introduction of M & A, M & a process, the ZQ financial situation after M & A in three aspects; the fourth part, the financial effect of ZQ after M & A. The solvency analysis, profitability analysis, capital operation efficiency analysis and development ability analysis, stock appreciation effect analysis, reasonable tax avoidance effect analysis of the six aspects; in the last part, conclusions and implications.Through this study, we can draw:first it can achieve the financial effect of the enterprise; second, momentum of net assets and profitability. It provides inspiration for the case and other corporate mergers and acquisitions in two aspects. On one side, M & A should be conducted according to their own development strategies; One the other side, we should emphasis on mergers and acquisitions business integration and development.
