Executive compensation is the product of the modern enterprise system, Enterprise pay their executives labor value, special contribution award, management risk reward value and other remuneration. Although the related research on executive compensation has made very many achievements, but both in academia and in practice, research on executive compensation is never reduce. On the one hand, the society, enterprises and executives are in constant development, so the academic research should based on the practice of constantly updated in real time. On the other hand, this shows that the existing research on the executive compensation is still inadequate, there is a need to further improve.This study takes XN company as an example, through the use of executive compensation management theory, in-depth analysis of the current situation of the system of executive compensation management of XN company, aims to find out the existing problems and their causes in the management of executive compensation. On this basis, using the theory, find the effective way to optimize the executive compensation of XN company. Finally put forward the optimization compensation implementation of safeguard measures, provide a reference for the perfection of executive compensation management in XN company. This paper mainly adopts the following three research methods: literature research method, survey analysis, system analysis. The main conclusions of this paper are as follows:Firstly,the executive compensation is the key factor to drive executive management, is an important reason to affect the performance of enterprise. Research shows that executive pay XN company has the following five problems: lack of strategy of executive compensation, executive compensation and ordinary workers pay gap is larger, the structure of executive compensation is not reasonable, the performance evaluation system needs to be improved, the lack of transparency of compensation payment.Secondly,the adjustment of XN’s executive compensation is base on XN’s internal mechanism, external environment, laws and regulations, and human capital characteristics, using further investigation as a tool to achieve a real and effective adjustment.Thirdly,the optimization of XN company executives salary management system, to ensure five principles "combine market regulation and government regulation, union incentive and constraint, compensate short-term incentive and long-term, coordinate wage growth, match salary system with post consumption " ensure the optimization results reasonable and acceptable.Fourth,in view of the current situation of executive compensation of XN company, from the long-term view of future development, this paper designs a set of simple compensation optimization scheme for XN company. And strengthen the following aspects: improve the corporate governance and the system construction, design a scientific structure of executive compensation, improve the incentive mechanism of executive compensation, improve the assessment mechanism and supervision mechanism.
