The characteristics of the commercial real estate is the large investment,long payback period, thus commercial real estate is more dependent on capital. However, commercial real estate is dependent on the bank loans which is short-term so that can’t meet the need of large amount of capital.Therefore, based on the Hai Yin asset securitization in commercial real estate, according to the risk of isolation, asset restructuring, credit evaluation, this paper tries to summarize some suggestions about commercial real estate asset securitization. In the first Chapter, study on the domestic & foreign theory and relevant principles, In the second Chapter, introduce the article from three aspects: project background, vital structure design and present situation. In the third Chapter, research the character of this project and the affects, especially the “trust + asset management plan” vehicle and cash flow based on the rent, which is applied for commercial real estate which holds mature projects, the special vehicle can realize the advantage of legal subject position and the liquidity. Meanwhile, this provide excess coverage and guarantees to increase credits. However, this case has its limitations, it doesn’t apply for those companies which lack mature projects or small sized companies. In the last Chapter, give some suggestions from the aspects of commercial real estate developers and politicians.
