Therefore, in order to give full play to the core talented person’s subjective initiative and creativity, so that they become the enterprise sustainable development the source of power, have explored a long-term incentive mechanism of modern enterprise, the practice proved that equity incentive can effectively unified core talent and enterprise objective, has a very positive practical significance for long-term incentive core talents.S company is a high-tech enterprise specialized in the air of virtual simulation technology, was established in 2005, consists of three main business: flight simulation research and manufacturing, aerospace engineering outsourcing machine products and UAV system research and design. The company belongs to the knowledge intensive and capital intensive enterprises, engaged in the business of interdisciplinary platform, human market provides the professional counterparts the scarcity of talent, talent training cost is high, so human resource stability and core personnel incentive for the sustainable development of the company’s important to.Taking "S company core personnel incentive mechanism of stock ownership" as the main research content, focusing on two key points: the "high-tech enterprises" and "the core personnel incentive". The paper inspired first based on the relevant theoretical research at home and abroad on the incentive of equity, return to the core talents of high-tech enterprise incentive subject, through the core talent refines the features of high-tech enterprises, summarizes their dominant needs, incentive utility in common, then on this basis, through the S company’s background and analysis questionnaire survey and summarizes present situation and problem analysis of core personnel incentive of S company. The thesis adopts the theory with practice, a combination of qualitative and quantitative, while the use of investigation and statistics, chart analysis method combining based on detailed analysis and comparison on the discussion of the core talent, put forward S company equity incentive plan design and the necessary security measures. This thesis through research on S company how to build the core talent of equity incentive mechanism, hope through the research of this theory and practice, the establishment of long-term incentive mechanism for S company, and to ensure the long-term incentive effect, to provide professional security as the core stability of talents in S company.
