In the background of economic globalization, foreign capital M&A is getting more active and frequent. After China entered the WTO, the energy and potential of our country’s market appeared gradually. Foreign investment is starting to pay close attention to China, and have joined the wave of mergers and acquisition. Foreign capital M&A has became a hot topic. With the constant M&A, the dispute is continuously growing. The reason for dispute about M&A is that the effect for M&A to state and industry and enterprise is not sure. Many scholars have analyzed the effect of foreign capital M&A, form the different angles of industry, national security, social welfare, technological progress, and so on. They proceed their owe views. However, the relevant information show that Cross border M&A are not smooth. The case of failure about M&A are over65%.The most important reason is that the enterprise has not effective integration after M&A. Scholars has rarely studied a series of integrated behaviors and the resulting effects after M&A. The thesis is based on the stated-owned enterprise Mittal-Valin in2005, and analyze further integration changing in management and its resulting effects. In order to guide for M&A enterprise about management behaviors.Firstly, this thesis reviews the basic theory. The thesis analyze the5kinds of integration behavior, technology integration, marketing integration, strategic integration, manage and control mode of integration and cultural integration. On the basis of the theory of predecessors, put forward the five hypotheses. we get the five conclusions:(1)On the integration of technology, the effective integration of technical personnel, equipment, technical knowledge and technology management could bring the positive effect to the enterprise after M&A.(2)On the integration of marketing, the effective integration of products, marketing channel, consumer demands and business cooperation with its customers could bring the positive effect to the enterprise after M&A. (3)On the integration of strategy, the effective integration of the company’s mission and goals, business strategy, competition strategy could bring the positive effect to the enterprise after M&A.(4)On the integration of manage and control mode, the effective integration of development strategy, financial management, organization structure and the resources sharing could bring the positive effect to the enterprise after M&A.(5)On the integration of culture, the effective integration of values and personnel system could bring the positive effect to the enterprise after M&A.Finally, this paper points out the insufficiency and the outlook for the future.
