Along with the constant development and improvement of the socialist market economy system, thesocialized large-scale production put forward a great challenge to the limited marketing capacity of theenterprise, and an increasingly fierce competition in market pose a higher demand for risk-resisting abilityof the enterprise. The enterprise groups may product and operate in combining with the enterprise ofdifferent sizes, different trades, different fields, different areas and variations of ownership together tocomplete the centralization and restructuring of capital in a relatively short period of time, which could befavorable for reasonable adjustment of industry organization, achieve scale economy, promotes the rapidtransformation from the science and technology to practical productive, which could help the governmentto improve macro-control to have an incomparable advantage over any other enterprise organizations. Thecollectivization strategy is also an inevitable choice for many economies to increase strength and acceleratedevelopment.This paper that deals with the study of Shanghai Guangming Food Group restructured from ShanghaiAgricultural reclamation, which will begin with review and analysis of the correlation theory about currentconditions of an enterprise group and grouping strategy and some related to define the research objectiveand actual value of the essay. Next, it will goes to define the related concepts for enterprise group andgrouping strategy involved in this essay, which intently explains the basic principles on stage ofdevelopment, formation reasons, characteristics, basic structures, category, economic function, leadingmodels, structure mode, management mechanisms and growth approach of an enterprise group. Followingthat, it will go into details of the case of the construction, integration and development of Guangming FoodGroup by using the basic principles of the economics and management, and to probe into the basicprinciples of main function, construction, development, operations of enterprise group, summarize itssuccessful experiences, analyze its existing problems and put forward improvement measure.Through the research above, the following revelations could be got: In the aspect of comprising agroup, for restructuring, combination or cooperating between enterprises, the government could respect thewillingness of enterprise and guide this process by using industrial policy and plan of guiding for theenterprise groups’ development. For realizing the real reorganization, the enterprises would use capitaloperation as the main means of corporate restructuring and pay more attention to integrating and remoldingcorporation culture. In the aspect of conducting and strengthening a group, the government must ensure theseparation of government-enterprise and government-capital, try its best to create a fair, just, open marketenvironment and provide quality public services. Meanwhile, for the enterprise groups’better development,the government must give more guidance and support and take some control and supervision. Theenterprises must reinforce their major businesses and development strategies, expedite the innovation oftechnology and management, and increase brand value constantly. Furthermore, some large enterprisegroups should go abroad and participate in the global market competition and resources integration. Then,some problems about construction strategy, tie, diversification, financial integration and talent developmentwere explored to a great depth.
