As the enterprise managers of a tertiary affiliated company of the China Railway First Group Co. Ltd, the simulated shareholding reform was studied through tracking method in this paper. The reform opinions were collected from all levels of people throughout the enterprise by visiting the administrators and workers of company. Combining with the enterprise situation before and after the reform, the reform program and regulations of enterprise were studied. The changes of economic indicators for the enterprise before and after the reform were analyzed by collecting business activities related data of the enterprise. Combining with the modern enterprise management system and relevant incentive theory, the enterprise reform was studied with the inductive methods.The simulated shareholding reform can be used in the secondary affiliated company of wholly state-owned enterprises to expand the strength of the enterprise and improve the market competitiveness of enterprises as well as ensure nation-owned asset while the property of state-owned for the enterprise can’t be changed. The reform can stimulate staffs work enthusiasm effectively and promote the steady development of the enterprise.The substantive issue on the reform of state-owned enterprises is to achieve the change in the enterprise management system by reform. The reform should focus on how to set up a feasible and effective motivation system which can stimulate staffs work enthusiasm and enhance their sense of responsibility. The research on reform in this paper has important reference value to find an applicable reform way for practical production in the state-owned enterprises as soon as possible and to improve enterprise’s performance greatly for reform and development.
