The state-owned enterprises occupy a very important position inChina’s national economic and social development, but with the sustainned, rapid development of economy in China, state-owned enterpriseshave various difficulties and contradictions which become the bottleneckthat restricts the sustainable development of social economy. Therefore, the restructuring of state-owned enterprises has become an important link in the reform of the economic system. Hengyang, one of China’s important old industrial bases city, there are many state owned enterprises who have larger proportion in national econom y. Before2003, there are nearly50000enterprises, including395state-own ed enterprises, employing200000people. From2003to2010, the Hengyang municipal state-owned enterprises restructuring g effect gotobviously effect, the successful restructuring of more than200. After2011, there are more than100state-owned enterprises to need to berestructuring, restructuring state-owned enterprises encounter manydifficulties and resista nce, such as: restructuring the arduous task, thereform cost by raising difficult, imbalanced enterprise develop pment, therestructuring problems pressure stability etc.In order to system analysis in Hengyang city in the process of SOEreform, and puts forward the development thought of Hengyang stateowned enterprise reform in order to solve these problems. In thispaper, using economics and management and other related theories,I based on comprehensive analysis on the current situation of Hengyang SOE reform, the main problem to reveal the practical difficulties ofthe current Hengyang restructuring state-owned enterprise es face and existence, put forward some targeted strategies. Then, com binedwiththree typicalcases of Heng yang SOE reform, I process and result analysisof the above described in depth. Finally, a summary of the paper, and afollow-up study of prospects.This study has some theoretical significance and practical value inthe reform of state-owned enterprises in Hengyang, It maybe playing acertain refrence role to speed up the pace of reform of state-ownedenterprises in Hengyang.
