With the degree of competition in the development of economic globalization,enterprises and the state continues to improve, has become an important driving forcefor technological innovation and regional economic development. As a representative oftechnological innovation, high-tech enterprises in the national economy has becomeincreasingly important to study high-tech enterprise governance issues has importantpractical significance.Corporate governance is an important factor to measure the core competitivenessof enterprises. Corporate performance is the most direct reflection of the level ofcorporate governance. To some extent, corporate governance is a necessary conditionfor improving business performance. So it is beneficial for the stable development ofenterprises to research governance structure relationships with corporate performance.By studying Xi’an high-tech enterprise governance structure impact on companyperformance on empirical analysis, this article try to find the relationship between thecorporate governance structure and performance form the ownership structure, boardstructure and management incentive. Excepting find out some regular pattern and theexisting problems in Xi’an High-tech corporate governance structure, so as to developappropriate support the development of high-tech enterprises in Xi’an provide evidence.Firstly, the study identified high-tech enterprise objectives, concerned about theimpact on the performance of its governance structure, describing its researchbackground, significance of the topic, presented the main research contents andframework, the initial introduction of research methods.Secondly, the concept of corporate governance structure were analyzed andevaluated general, separation of ownership and expounded the theory of principal-agent theory and stakeholder theory, and the main use of the principal-agent theory, astudy of the relationship between structure and performance management frameworkand theoretical model for further research is necessary to lay the theoretical foundation.Again, combined with characteristics of high-tech enterprises of its specificity.Including the definition and characteristics of high-tech enterprises, the development ofhigh-tech enterprises in the real sense, a special governance structure based on riskanalysis point of view of investment and R&D personnel agency relationship holdingscaused.
