Entrepreneurial activities are always the hot topic of the studies,and entrepreneurial opportunity recognition is the key. All through, a lotof scholars have studied on the factors of entrepreneurial opportunityrecognition, they didn’t agree with each other. Based on three theories ofAustrian school of economics、cognitive theory and social network theory,this paper have three main tasks: firstly, the relationship of previousknowledge、social networks and entrepreneurial opportunity recognition;secondly, the mediating influence of entrepreneurial alertness on therelationship of previous knowledge and entrepreneurial opportunityrecognition and the relationship of social networks and entrepreneurialopportunity recognition;finally,the moderating influence of innovativecognitive style on the relationship of entrepreneurial alertness andentrepreneurial opportunity recognition.This paper collected106valid questionnaires from more than20companies in Shanghai and Wuhan cities. The SPSS19.0and AMOS7.0data analysis show that, firstly, there is a significant positive correlationbetween the relationship of previous knowledge and entrepreneurialopportunity recognition, but the mediating of entrepreneurial alertness isnot significant; secondly, there is a significant positive correlationbetween the relationship of social networks and entrepreneurialopportunity recognition, and the mediating of entrepreneurial alertness ispartly significant; finally, there is a significant positive correlationbetween the relationship of entrepreneurial alertness and entrepreneurial opportunity recognition, and the moderating of innovative cognitive styleis significant.
