Since the1960s and the1970s, the Principal‐agent theory got a rapid development in the western country. At the same time, Human capital theory has also been formally proposed. In the next few decades, European and American companies have increasingly recognized the role of human factors in the enterprise; they launched equity incentive or other long‐term incentive system in their companies. Entered for the21st century, long‐term incentive system is more and more accepted forChinese enterprises, they launched their own incentive plan. This paper, who takes the QiXin as a research object, describes the basic operation status and the current incentive system of the company. It begins the research by the cut‐in point of the questionnaire to the ex‐serving&the serving officer in company, dissects the problems in current incentive system of QiXin by focusing on incentive object, incentive method, target setting and the performance appraisal. Then, according to the analyzed problems, it gives out not only the optimized advices and comments, but also detail practice cases about selecting incentive target, performance appraisal of core technical personnel, phantom stocks rating rules and exit rules. The problem‐solving approaches which listed in this document bring reference to the hi‐tech unlisted companies just like QiXin.
