At present,our country is experiencing the"double creation"wave of mass entrepreneurship and innovation,a large number of start-ups have sprung up.The key issues of the success and failure of a company include whether they can recruit excellent employees,retain talent,remain alive,remain efficient and innovative,and attract investors.One effective solution to these problems is equity incentive.TC company is a typical start-up company.This paper takes TC company as the research object,and finally designs a set of equity incentive plan for TC company.This paper first introduces the background and significance of the research,and puts forward that there is a series of problems in the current venture companies in China.One of the effective solutions to these problems is equity incentive.The typical case of TC companies in this paper is in urgent need of the establishment of equity incentive system.Then it introduces the research status at home and abroad,and introduces the research methods and research contents of this paper.Then,it summarizes the theoretical basis of this study,including incentive theory,principal-agent theory,human capital theory and company residual claim theory.Then,this paper analyzes the current situation of TC company,introduces the general situation of TC company,including the basic situation,organization structure,personnel structure and development prospect of TC company,analyzes the characteristics and existing incentive methods of TC company,and puts forward the necessity of establishing equity incentive for TC company.After that,the focus of this article is to design equity incentive scheme for TC company,including design objectives and design principles,equity incentive type,equity source and quantity,share option allocation scheme,right condition and right price.Share option allocation scheme divides the company's incentive to three types,includes senior managers,sales backbone and core technical personnel.Each type design different score table,according to the score calculation weight and scoring rules to determine the score of each person.Then is the expected effect and safeguard measures of stock option implementation.Finally,it summarizes several important conclusions.
