In the new situation of increasingly serious resources environmental constraints and more competitive betwenn the current internationally industries, in order to increase the intensification of coal production, extend the coal industry chain, Speed up the transformation of development mode, we must push forward strategic reorganization, so we can improve the quality and efficiency of enterprise development, achieve sustainable development. Strategic restructuring Parties of HNCC are the provincial large State-owned enterprises, and the main business and the adjustment direction of industrial structure focus primarily on coal and coal chemical industry, but coal production is relatively small and coal resource reserve is uneven allocation. The construction project of coal chemical layout scattered, supporting force of talents、capital and technology is weak. In terms of resources, talent and regional advantages between enterprises cannot be shared, not to create synergy, so that it is more difficult to form a market advantage and play a dominant role to control market, and does not have the voice for the coal and coal chemical industry market. Because the strategic reorganization of enterprises have similar industrial structure or associated products, they can beshared within the financial, human, natural resources, market and many other resources, form the business conditions for buiding top coal and coal chemical industry in Henan province. Therefore, strategic restructuring is in line with the objective laws of economic development and the inevitable choice for market competition.The basic background of this paper is the strategic restructuring of HNCC, first of all, from the world’s trend of the development of the coal industry, domestic and international strategic research and development, strategic reorganization the basic situation of the parties, this paper elaborats the necessity of strategic reorganization of HNCC from the motivation of promoting strategic restructuring of State-owned enterprises and the the feasibility of strategic reorganization in Henan province. Subsequently, combining the project management theory and the theory of merger, this paper designs the restructuring programme of HNCC. And, on that basis, this paper elaborates the implementation of strategy reorganization project of HNCC around the project management, the project controlling, the project quality control, the project risk management and the project cost management. Finally, this paper summarizes shortcomings in the programme design and implementation of HNCC, and in connection with the shortcomings,this paper propose the improvements for next studies.
