In recent years, with China’s sustained and healthy development of the economy, our country enterprise system reform is deepening, the problems of corporate governance of Chinese enterprises are beginning to receive attention from all sectors of society, become a hot research issue new. In practical terms, the main causes of the problem of corporate governance structure of China’s enterprises and the enterprises of our country is gradually began to establish the Modern Corporation system is suitable for the enterprise itself, the modern enterprise system in the build process, will inevitably lead to corporate governance mechanism with the change, only two meet each other, the enterprise can obtain better, faster development.In this paper, it takes Shandong Longda Ltd.(hereinafter referred as "Longda") as an example, the existing problems in corporate governance and analyze the reasons, and puts forward the corresponding measures. Longda is a private enterprise, founded in2003, the rapid expansion of the scale, in2011sales revenue of1.9billion. In the early development of the company, employee is less, only ten employees, main products for export are fruits and vegetables, a single product. The organization design of linear function of the management, management to facilitate. Development of ten years, the company entered a rapid period of development, sales scale rapid growth, governance structure improved significantly, but still faces a series of problems, which has the big disparity with the Modern Corporation management requirements and standards.Longda establishes a corporate governance framework of modern, preparing for the establishment of the general meeting of shareholders, board of directors and the board of supervisors and other organizations, by professional committee, in the corporate governance in the running process, found the chairman and general manager is not served by one,"the two person", but the high concentration of shareholding background, the supervision function of the board of supervisors is difficult to effectively, related transactions infringe the interests of minority shareholders. At the same time, there is the operation of the board of directors is not standard, the problem of executive incentive is not sufficient.The existence of corporate governance problems, causes of problems, and put forward reasonable improvement measures, has the reference significance to the development of other private enterprises. This paper concludes that the solution to Longda group issues in corporate governance, should from the aspects of ownership structure, board of directors, board of supervisors and the senior management incentive to start, through the proper concentration of ownership, to solve the "dominance" problem, the introduction of strategic investors, improve gradually and investor relations, to constantly optimize the equity structure; strengthen the independent director system, activate the special committee, and establish the training system, to perfect the system of board of directors; introduce external supervisors, strengthen the function of the board of supervisors play, key responsibility assessment, in order to improve the effectiveness of the supervisory board; promoting the equity incentive plan, cultivate the occupation managers environment, improve the compensation assessment system, finally achieve the goal of incentive.This paper studies implementation issues will contribute to the understanding of Longda exist in corporate governance, solve the realistic factors restricting the steady development of the company fundamentally, there is significant effect to improve the value of the company.
