| As the rapid development of Chinese economy, there are so many shortages in the operation and management of collective enterprises in China, thereby impeding their further development and growth. Transformation to modern enterprise system has become the practical choice of collective enterprises in order to survive and develop in the increasingly competitive environment. On the basis of reviewing the modern firm basic theories including transaction cost theory, principal-agent theory, property rights theory and entrepreneur theory, this study employed case analysis method to investigate the transformation of collective enterprises. The collective enterprise in Yushuzhuang village was exampled to analyze the problems of traditional collective enterprise and then the necessity of transformation of collective enterprises was argued. Firstly, this study described the problems such as ambiguous property rights and inefficient management of collective enterprises in Yushuzhuang village and argued the necessity of transformation. Then, the path and countermeasures of the transformation of collective enterprise to modern enterprise system were proposed and they included building modern enterprise system, clarification of property rights, innovation management and so on. Apart from that, transformation of collective enterprise was a dynamic process and this study further demonstrated the necessity of further upgrading after the transformation, which should be suitable to the economic and social environment and the long-term goals of the enterprise. The core ideologies of the basic firm theories including clarification of property rights, reducing transaction cost and further excavating entrepreneurial talent were the key factors in the process of transformation of collective enterprise in Yushuzhuang village.
