With the continuous development of the oil industry, Marine oil and gas development towards the deep sea,rising international oil and gas cooperation project. In the world, many of the large integrated oil companies with advanced technology, abundant capital, advanced management system in abundance across the country, make transnational management. Many developing countries with rich marine oil and gas resources, because of lack of technology, capital and other aspects, make Cooperative development of domestic oil and gas resources through foreign capital importation.Cooperative development of international marine oil and gas resources, is a transnational business activities with high investment, high return, high risk, the cooperative mode between foreign oil companies and resource countries is numerous, because it is the transnational management, foreign oil companies have to face a lot of uncertain factors, strengthening research on external and internal risk factors of foreign oil companies are facing in the development process is more important.In recent years, three major oil companies of China implement the "going out" development strategy, increasing overseas investment projects. But because of late beginning of three major oil company of china, compared with the advanced oil company, technology, mode selection, bargaining power, the risk-resisting ability need to be improved. Increasingly tense situation in the south China sea, many experts and scholars believe that the development of our country in the south China sea situation is largely related to the slow development of Marine oil and gas resources in our country, through the research, many countries in the world use the pattern of joint development in disputed waters of the oil and gas resources for development.This article through a combination of theoretical and empirical, first carries on the analysis to the world of marine oil and gas resources development model, summarize the existing mode of cooperation with the concession contract, the production sharing contract, service contract, buyback contract, joint ventures, and studied power distribution, fisk sharing and so on of each kind of development pattern. Through analyzing the disputed waters and world development cooperation mode, summarized the common development of the management mode and the common development of contract mode, management mode includes the agency model, forced mode of joint venture and supranational management model, contract model with contract model of no disputed waters is consistent. Specific to the oil contract, this paper summarizes the provisions of international petroleum contract including economic terms, legal provisions and tax provisions, and discussed one by one analysis. According to risk management in the offshore oil and gas development, this paper enumerates several methods in offshore oil and gas development cooperation in risk identification, and then analyzes the risk types existed In the process of development and management, summed up in the offshore oil and gas development process, which may exist in the15types of risk, political risk, legal risk, social risk, market risk, exchange rate risk, geological risk, cultural risk, economic risk, contract risk, financial risk, competition risk, HSE risk, management risk, personnel quality risk, technology risk. Then using the interpretative structural model to analyze on the relationship between each factor. According to a single risk, because risk has the very strong fuzziness, based on the limited data is available, By means of the oil in the relevant data of2000-2011HSE management, adopting the method of quantitative analysis, using a linear regression model, carries on the analysis to the oil in the development process of HSE risk. The relation in safety, health, environmental indicators and the total turnover is obtained, that is the total accident rate, pollutant emissions and occupation health examination rate with the volume of business has some relation. At the end of the paper, according to other possible risk factors in the offshore oil and gas development process, put forward the relevant control strategy.
