Research On The Governance Structure And Business Performance Correlation Of The Central Region Listed Company

The country began to implement the strategy of central China rise abruptly in2006in order to reduce the regional economic difference of eastern and western region. The central region listing corporation plays an irreplaceable role for the central area of economic prosperity and the strategy of the rise of central China vigorously implement in the national policy support, tax incentives and its reform and development in the seven years. Due to the industrial transformation, the modified coal enterprises, it leads to great changes have taken place in the central region of the governance structure of listing corporation. It interferes with the level of corporate governance, seriously impacts on the company management to improve the economic performance and the central region of the sustained and stable growth, and hinders the process of the rise of central China strategy because of industrial transformation, the modified coal enterprises and etc. Therefore, how to improve the governance structure and promote the overall operating performance has become urgent and serious topic. Based on this, the paper makes an empirical study on correlation between the two combine with actual situation in the central region of listing corporation governance structure and operating performance, putting forward reasonable suggestions for the central region of the enterprise governance structure mechanism and improving overall business performance.Based on the theory of governance structure such as iseparation of two rights theory, classical stewardship theory, Agency theory, stewardship theory, stakeholder theory,and the summary of governance structure and operating performance of related literature at home and abroad, the thesis define the governance structure and operating performance of meaning and related theory from the point of view of the scope, and analysis the relationship between the two analysis in order to the index construction and assumption basis. With the research methods of literature study, normative study and empirical analysis combined with qualitative analysis and quantitative analysis,and contacting the actual situation of listing corporation in central area, it explains the current situation of corporate governance and business performance. According to the relationship between the two theoretical analysis, it constructs the governance structure index from the ownership structure, board structure and management incentives are indicators of the three aspects.It constructs the operating performance index from the profit, solvency, operation, development of the four aspects.It computes the comprehensive score of performance by using the factor analysis method and increase scientific and comprehensive research results because the scale of the company as the control variables. Constructing multiple linear regression model, hypothesis, descriptive statistical analysis and regression analysis, the thesis researches on the two sides of relationship empirically analysis between corporate governance and business performance from two aspects of the whole sample and industry factors on the central region of the listing corporation. The influence of corporate governance structure in different industries on the operating performance is the opposite conclusion. Put forward for different sectors of the stock reform, adjust the ownership concentration, standard behavior of the board of directors, board governance structure of occupation training, establish fair and reasonable management compensation system, increase the proportion of management ownership and other measures to improve the central region in order to improve the overall performance of the listing corporation company.The innovations in this thesis may be the following aspects:the thesis responses of overall regional development strategy of national "Twelfth Five-Year Plan".Seven major industries in the central region from the perspective of representative central rise of151listing corporation as the research object, it carries on the empirical analysis from two aspects:the sample overall and industry factors on the relationship between corporate governance and business performance. In order to analyze the relationship between the central region listing corporation of China governance structure and operating performance,it not only influences the corporate governance structure of different years on business performance from the vertical, but also analyzes the influence of different governance structure on the performance of the industry from the horizontal.
