The historical development of family business has a long history, has experienced from less to more, from traditional industries to high-tech fields, from small workshops to cross-sectoral, trans-regional or even transnational enterprises. Family enterprises because of family factors of its unique, compared with other forms of organization, the relationship between the internal structure is complex, the particularity of the governance mode. In the eyes of many people, the family business management method is relatively backward, the organizational form of family enterprises is also very backward. However, throughout the whole world, whether in developed areas and backward areas of economy, family enterprises in the economic development has played an important role in. At present, the world of family businesses are facing growing challenges. The governance mode of family enterprises in developed countries has drawbacks, and it needs to be improved. While the Asian countries including China, the family business, with the growth of enterprises and the expansion of the scale, many problems are exposed. For example, the property right is not clear, the incentive and constraint mechanism is not perfect, the centralized decision-making power, not the construction of modern enterprise culture and so on, without showing the governance structure of family business issues. In addition, when the family enterprises grow in size, ownership socialization is an inevitable choice.In the family business into a public corporation, how to maintain control of the listing Corporation, for the family business founder, especially for the Chinese family business not long history is really a new challenge. Based on the principal-agent theory, incentive theory, the modern property rights theory, transaction cost theory and stakeholder theory, through the analysis of Gome Electrical appliances and other cases, the present situation of the family enterprise governance structure in China, tries to grasp the physical problems for family business structure, thus put forward the improvement scheme of family management of Enterprise Inc and support conditions. Many studies show that, if the system of enterprise performance and even success or failure and a reasonable and efficient corporate governance has a great relationship. The family enterprise governance structure is not static, but with the development of the family enterprise is a change, from simple to complex, from imperfect to perfect the process. After30years of reform and opening up, the family enterprises in our country has entered the period of maturity and even most transformation period, but restricted by the traditional culture of our country, the system of laws and regulations and other factors, many listed family enterprises still adopt family management mode, there is still a gap with the management mode of modern enterprise. Can solve the problem of family enterprise governance structure, has the vital significance to sustainable development of family enterprises in china.
