The family enterprise is the contemporary society of our country,private enterprises,the main force in the creation of wealth and economic growth,is also a kind of enterprise form in the world that exists in the decades of reform and opening up,family business plays an important role in social economic development.According to the state in 2011 December "China family enterprise development report" shows that China's private enterprises 85.4%belong to a broad family enterprises,55.5% private enterprises belong to narrow family enterprises,family enterprises accounted for 36.9% of domestic listed companies.Due to the growing influence of family business on the global economy,the topic of family business has aroused widespread concern and heated debate.There are some common problems such as small scale and short life span in our family business.Since the global financial crisis in2008,there are a large number of family enterprises in our country.In this paper,the optimization of the internal governance structure of the family business as the direction of writing,through the literature study,case study of HY company.This paper argues that the family business can be divided into different stages according to its development,in different stages of development,the internal governance structure of family business should also be different,can not be applied to a model.This paper uses the principal-agent theory,transaction cost theory,incentive theory and other related theory,the influence of the ownership structure on the internal governance theory,combined with the development of the internal governance structure of HY company were analyzed,found that many of the problems existing in the internal governance structure of HY company,affecting the healthy development of the company,therefore,based on the ownership structure the incentive and constraint mechanism,the supervision system and put forward the corresponding countermeasures and suggestions for the optimization of HY company.It is hoped that this paper will be helpful to optimize the internal governance structure of HY company.
