Mechanism Of Chinese State-owned Company Management

The corporate governance has become a hot issue for many years for scholars at home and abroad. During the process that traditional State-owned enterprises transfer to modern enterprise, and also along with the separation of ownership and operation rights, a series of principal-agent problems appear. Actually corporatized state-owned enterprises do not establish a modern enterprise system fundamentally. Therefore, the key issue to stated-owned company revolution is the establishment of corporate governance system. So as an important part of corporate governance system, corporate governance mechanism is the power and guarantee for effective management of state-owned company. However, the development of State-owned enterprise governance mechanism in China is still in its starting phases. Therefore, this dissertation chooses state-owned enterprise governance mechanism as its research objective, aiming to find out a special governance mechanism of State-owned enterprises which specifically fit to national conditions, promoting the improvement of State-owned enterprises’ corporate governance system.So based on both primary data and secondary data which has been done by other scholars, this dissertation starts from the connotation and extension of state-owned enterprise governance mechanism and takes Marx property theory and Principal-Agent Theory as its theoretical basis, and finally systematically analyzes the mechanisms of corporate governance of state-owned enterprises in China. Firstly, this dissertation puts forward four principles of corporate governance mechanism construction for state-owned enterprises from4angles and combines these four principles to find out the improvement goal of state-owned enterprises. Secondly, combing the main problems of the state-owned enterprise corporate governance mechanism carried out in-depth analysis of cause reasons for these problems. At last, this dissertation finds out the measures to improve the corporate governance of state-owned enterprises mechanisms.
