Capital structure refers to the composition and proportions of the relationship between the different sources of funding projects. Since the MM theorem marked modern capital structure theory proposed, a large number of researchers were issues related to the company’s capital structure theory and empirical research. This study is under the guidance of the modern capital structure theory, through the collection of private listed companies in Jiangsu Province, the Annual Report of data and information, the use of statistical analysis methods, the status of Capital Structure of Private Listed Companies in Jiangsu Province and impact factors constituting were studied.In recent years, private enterprise has become indispensable force of Jiangsu’s economic development plays a decisive role in the economic development in Jiangsu. How the status of its capital structure as a private listed companies in Jiangsu advanced on behalf of the private economy, which factors affect the capital structure and how these factors affect the capital structure of private listed companies in Jiangsu Province, issues such as how to improve the Capital Structure of Private Listed Companies in Jiangsu is the main contents of this article.Firstly, expounded the theory of the structure of the domestic and foreign capital, and then analyzes the status quo of private capital structure of listed companies in Jiangsu, reason pointed out problems of Jiangsu private listed companies in the capital structure. Next, using the method of multiple linear regression analysis, and analysis of the main factors that affect private listed companies’ capital structure in Jiangsu. Through the analysis of2009-2011data in the sample companies, the main factors affecting Jiangsu private listed companies’ capital structure are asset structure, business growth and corporate profitability. The final draw conclusions of research and put forward related policy recommendations of optimize Jiangsu private enterprise capital structure.
