In china, accelerating the transformation of the mode of economic development and promoting the upgrading of industrial structure have always been one of the most important issues which government at all levels concerned. In the occasion of entering the "Twelfth Five-Years" from the "Eleventh Five-Years", this issue is particularly important. As a large industrial province and the leaders in attracting foreign investment, Jiangsu province has made remarkable achievements in the way of the upgrading of industrial structure. However, the pros and cons are kept in attracting foreign investment, if not well controlled, not only industrial structure can’t be optimized, but also local enterprises will suffer irreparable harm. Therefore, how to attract foreign investment, how much foreign investment should be attracted, how to supervise and manage foreign investment, how to more effectively absorb foreign advanced technologies and re-innovation, how to improve the capability of independent innovation of domestic investments, and other issues, All of these questions are worthy of our continuing discussions.Based on the major theories at home and abroad that about domestic investment, foreign investment and the upgrading of industrial structure, this paper defined the meaning of domestic investment, foreign investment and the upgrading of industrial structure, and Analyzed the interactive mechanism between domestic investment and foreign investment. In addition, this paper analyzed also the general theories that about the mechanism which domestic investment and foreign investment to influent the upgrading of industrial structure in the host country, from positive and negative. Besides, by reviewing the evolution of industrial structure, analyzing the current situation of attracting domestic and foreign investment and the still exiting questions of the upgrading of industrial structure in Jiangsu province, using the data that all industrial output value of domestic and foreign investment last decade in Jiangsu province, this paper made empirical research to the upgrading of industrial structure of Jiangsu province. Furthermore, the author presented the conclusions of this paper and verified it by comparing to three empirical. Finally, based on the above theoretical and empirical analysis, with the actual situation of various sectors in Jiangsu province, this paper proposed the policy recommendations of promoting the upgrading of industrial structure in Jiangsu province.In the progress of empirical analysis, by comparing the change of the industrial structure of domestic with foreign, comparing the change of the proportion of three industries, comparing the change of the distribution of industrial sectors, and analyzing different situation of the industrial structure between domestic and foreign, this paper firstly presented the preliminary conclusions. The result shows that the shares of the three types of industrial is more and more reasonable and remarkable optimization of industrial structure from entering the twenty-first century. Additionally, as far as the contribution to upgrading of industrial structure in Jiangsu province only, the contribution of foreign industrial is greater than domestic industrial. However, with the increase in the share of the foreign industrial and the improve in technical level of the domestic industrial, the contribution of foreign industrial is starting to weaken, while the contribution of domestic industrial is increasing gradually, moreover, both of which gradually be in line. Secondly, as the first validated to conclusions by comparing and analyzing the contribution of domestic industrial with foreign industrial which to the upgrading of industrial structure in Jiangsu province, following, as the second validated to conclusions by comparing and analyzing the contribution of per unit domestic industrial with per unit foreign industrial which to the upgrading of industrial structure in Jiangsu province, finally, as the third validated to conclusions by respectively comparing and analyzing the contribution of concrete sectors in domestic industrial and foreign industrial which to the upgrading of industrial structure in Jiangsu province. Ultimately, this paper summarized in illustrating the credibility of the conclusions, and the status of domestic investment and foreign investment in the progress of the upgrading of industrial structure in Jiangsu province.In terms of proposing the policy recommendations, this paper put forward the point of view on my own from optimizing the structure of domestic and foreign investment. In order to expected to make slightly contributions to the continuously upgrading of industrial structure in Jiangsu province.
