TD is a fabless semiconductor company. While the semiconductor industry has been in rapid development, the fabless semiconductor company has poor ability of risk-resisting in semiconductor industry, suffering a large loss of revenue during economic downturn.In recent years, TD Company are facing increasingly competitive environment. In order to survive in the fierce market competition and further pursue development, TD Company made changes decidedly in time according to the actual situation of the enterprise itself. Organizational change is necessary but not easy. TD Company carried out mergers and acquisitions to acquire selected assets of product lines of other companies’consumer division. The acquisitions enable TD Company to achieve the economies of scale required to compete in the digital home market. But, there are several management problems during TD company organizational change. It is necessary to study the corresponding management measures and solutions.The thesis originated from the actual case of TD company organizational change. Aiming at actual changes situation in TD Company, combining with theoretical knowledge of Management, Organizational Behavior and Organizational Change theory, the thesis analyzed the management issues during TD Company organizational change and studied the corresponding measures and solutions.The thesis has six chapters. The1st chapter is the introduction, which includes the research background, signification, research framework and summarization for theories and models of organizational change. The2nd chapter compares the organizational change of the semiconductor companies in various countries. The3rd chapter is the brief of TD Company. This chapter describes the company profile and corporate strategy. The4th chapter is the analysis of the internal and external business environment of TD Company, including economic environment, technology environment and industry environment. In this chapter the management problems in TD organizational change are identified. The5th chapter is the study of specific measures and solutions for the management problems in TD organizational change. The6th chapter is the conclusion and outlook of this thesis.
