Assets Integration Research Of State-owned Explosive Enterprises In Hunan Province

Hunan province is famous for its Explosive Industry in China, ranking in the forefront level of the overall explosive industry among the Chinese provinces, but the single explosive manufacturing enterprise’s strength is obviously inadequate in Hunan. In front of us lies a very realistic and serious problem that how to develop the explosive enterprise rapidly and promote its growth effectively by integrating the assets, how to guide and supervise the integration of the explosive business in Hunan by the government. The research proves that through the integration of explosive manufacturing enterprises, the development of explosive business sector can be promoted. This article consists seven chapters. The major elements are as the follows:The first chapter is an introduction of the dissertations, explaining the background, the significance, the research ideas and the methods of this study.The second chapter elaborates the basic theory for enterprise asset integration. The part summarizes the integration, motivation, resources and the integration process of the business assets integration theory. And describes the significance of resource integration for Hunan, respectively from the national macro-control, industry growth, enterprise internal requirements aspects etc.Chapter III analyzes the Asset Integration Program, Integrating Provincial State-owned manufacturers of organic into a whole body; taking the body of all the assets into listed companies, and taking advantage of the financing platform for listed companies. And tells the method of Asset Integration Program of the industry in Hunan China which can be finished in one step and also in different steps. The one step integration is:the listed company issues the additional private shares to Shen Fu explosion Co-Limited, or listed companies raising funds through the issuance of the acquisition of assets of Shen Fu explosion Co-Limited; The different steps integration is: first, make the Shen Fu and Yun Sky Chemical Group merge into one group, when the conditions are appropriate, the SEO group would burst assets into listed companies.Chapter IV reviews the steps of integration explosion assets for Hunan implementation based on assets, asset integration and integration time schedule, which can be separated into five stages, that is completing merger-related legal procedures, establishing management system, separating the major and internal integration, orientating additional to complete the final integration.
