The trajectory of evolution of the corporate enterprises has fully proved that the company executives play an important role in the management and profitability, even in the company’s survival and sustainable development. In order to fully rely on and play the role of "locomotive" of the company executives, we need to scientifically develop and constantly improve on R.I. Co. executives incentives, the ultimate goal is to promote the harmony of interests of executives and companies’objectives, make a solid incentive mechanism for R.I. Co.’s survival and long-term sustainable development.Through elaboration about management and economic theory related to incentive, this article has broadened the vision and ideas for designing the top managerial compensation incentive of R.I. Company. Given the analysis of top managerial incentives in R.I. Co., we find the problems of its current incentive and why they exist, and we explore a more suitable incentive mode for the R.I. Co.—"3*2matrix" incentive mechanism analysis model, which is about to divided company executives into six modules of two types of three-stage, different forms of incentive combinations for management or technical personnel. In addition to strengthen the role of long-term incentive in executive pay, we also design appropriate "level of welfare system" and pension plans based different modules. Specifically, we make introduction of the theory of "career planning" incorporated into a company’s incentives, which provides a reference for the design of senior management incentives in R.I.Company. Designing the incentives for R.I. Co. is to make a set of effective incentive mechanism mode, which provides effective guidance and protection for the development of the company, and also provides a reference for the other company with the similar problems.
