With our industrialization and urbanization,the contradictions of land supply and demand are becoming increasingly evident.To find more room for development and revitalize the use of some stock of land,homestead exchange real estate project is being put on the replacement schedule and the relevant government departments are putting on more and more attention.In the promotion of urban and rural areas and the process of urbanization,great changes of Peasant status,occupation,living and working environment and personal factors related to their own interests have taken place on Suzhou city,Jiangsu province,as the urban and rural comprehensive reform pilot area.This paper combines the background of urban and rural of Suzhou and select seven districts and eight districts of Song ze home town , Lou feng, Suzhou industrial park and first district of Yang shan garden, Suzhou high-tech zones as my three research sites to do some researches.The author expand the research in areas of rights and interests of farmers using random sampling and household interview survey research methods.The paper assesses homestead using income restore method, and assesses commercial housing using market comparative method and income restore method . The author still makes a simple analysis on social security, the way of life and employment issues. Through research, the following three conclusions are drawed:Firstly,through homestead exchange,rights and interests of farmers has been improved. Secondly,equity of farmers have been raised because of the existence of differential rent and different property rights.
