With China'sdareat leap in economic growth, China's Real Estate Market has had rapid development; High-yield real estate industry has attracted many enterprises to participate in its competition. As we all know development needs funds, for China's inadequate financial markets, and lack of investment and financing channels, bank loans has been an important source of Real Estate Development and Investment funds, then Real Estate Development Loans has been rapidly growing. Real Estate Development Loans is characterized by high-yield, high risk, the current situation is that the number of Real Estate Development Loans rises steadily and its quality goes worsening. And Real Estate Development financing is mainly from banks, and which is unlikely to change in the short term, and Government Macro Control in real estate is becoming tenser, Commercial Banks must take account of reality that how to scientifically analyze and control the existing risks in Real Estate Development Loans projects. The subject of prevent, control, and resolve China's Real Estate Development Loans'risk is not simple, and it can't be settled by separate project to improve the real estate development companies, or to improve the commercial banks alone, or just blindly with government intervention.This paper makes a deep analysis of China's Real Estate Development Loans situation by SWOT analysis, and also makes use of information economics and game theory to analyze the association between commercial banks and enterprises in Real Estate Development Loans project. It points out that if banks and developers want a win-win situation, the real estate development enterprises have to consider the establishment of effective reputation mechanism, and commercial banks must also make hard credit constraints of real estate companies, and then this paper explains the need for cooperation between banks and developers from the commercial banks, and enterprises separately.Then by establishing of the fact case, this paper illustrates that the cooperation between banks and enterprises plays an important role in smooth progress of projects, and bank's own business expansion and creation. Finally, the paper makes an in-depth study into the Bank-Enterprise Cooperation Model for the Real Estate Development Loans project. I do hope the study will have some significance of improving the status our Real Estate Development Loans.
