| In the 1990s, with economic globalization and the rapid development of information technology, CBM&A wave off the fifth. In this wave, Chinese companies make an active performance; more and more Chinese enterprises take the initiative to join the process of world economy integration through cross-border to implementation and realization of their international strategy. At present, China already has some necessary conditions of M&A, It is a trend that Chinese companies with international strategy to promote cross-border mergers and acquisitions. However, CBM&A of Chinese enterprises is still in the primary stage, which the understanding and participation of Chinese companies are not enough, they don't fully prepare for choosing international strategy. Therefore, depth study of the theory of CBM&A, the conditions and motivations, the analysis of mergers and acquisitions effects, then to summarize experiences and lessons. Guiding the international operations of Chinese enterprises, gearing to world economy, participating in world competition, and playing an important role in the sustained and healthy development of Chinese economy, all of these activities have the practical significant.There are four parts in this paper:introduce some related theory of CBM&A in the first part; The main content in the second include why Chinese enterprises implement CBM&A by summarizing the historical development; The third part is an important chapter, analysis the M&A effects based on the typical cases and real data. And the last part is the strategies and suggestions for Chinese enterprises.In a word, the main purpose of this paper is to remind those Chinese enterprises which prepare to participate CBM&A wave of that they must see not only the advantages and chances but also the risks. We should explore the CBM&A route in accordance with Chinese situation actively by combining the actual situation and successful experience home and abroad. |
