Performance Evaluation System Of The Board Of Directors Of A Wholly State-owned Company In Hunan Province Design

The board of directors has been the core of corporate governance, and its efficiency has direct influence on the quality of company's governance.After more then ten years development of national business institutional reform in China, many problems still exist in the board of directors' governance. For example, the core of the board of directors has not been established, the board's decision function is difficult to be reflected, the role of outside directors is difficult to fully play, the mechanism of supervision and incentives of the board of directors has not been established. The most important problem is lack of index system and corresponding assessment method makes the management and investors difficult to appraise efficiency of the board of directors comprehensively, and embarrasses the construction and development of the system of the board of directors seriously.Based on corporate governance theory, the operation and evaluation mechanism of the board of directors in foreign state-owned enterprises and listed companies, the experiences of the construction of board of directors in China, this paper carefully analyzes the construction and business operation of the board of directors in Hunan SASAC supervision of enterprises, designs a scientific, comprehensive and just board performance evaluation system of state-owned company, and uses the set of system to evaluate the board of directors of a state-owned company in Hunan Province. The aim of this paper is striking a balance among the investors, the board of directors and managers, promoting standardized operation of enterprises and healthy development.
