In our country, executive stock option as an effective management way is still atthe stage of exploration and development. With the gradual improvement of law and the associated regime, a part of companys tried to Implementat executive stock option plans since2006, and it was accredited by investors. A relatively effective executive stock option plan is a complex system, inclodding humanresources management, legal and financial aspects, and so on. Through it can stimulate business layer to improve the level of management., so as to improve the business performance, increase investment returns.In this article, we designd a executive stock option plan for JinZheng company, with the use of regression analysis method, fuzzy analysis method, and other related methods.Before of this work , we also studied alots theories of executive stock option and other companies experiences. The results are those, share sources are directional resolved through subscription; Performance appraisal system is based on the assessment; subscription period of three years each is determined, so that the people can be incentived with a long-term; New employees can share incentive stocks, by the way of reserving. Also we assess the impact of the program on the company's current profits, according ti the criterias in the new accounting system.Comparing with other plans, the plan designed in this article coverd a lot of targets which shares a small number of stocks. The aim is that to incentives employees to have a Consistent development aim with company and share the results of enterprise developing.
