Since reform and opening the door, middle-size and small-size enterprisebecome stronger and stronger. However, their eager need of capital can't needin Chinese security market. Using the theory and practice demonstrationmethod, author analyses method of oversea financing and reason ofabroad-listing. Moreover, problems and difficulties middle-size and small-sizeenterprise face to list abroad are also considered in order to give suggestion.The thesis consists five parts. Review of theory is stated in first partwhich is footstone of author's study. In the second part, reason whymiddle-size and small-size enterprise goes global market from policy angle,government and enterprise point of view is listed. We discuss overseafinancing condition of middle-size and small-size, financing method andchoosing of security market in the third part. In the fourth part, authordiscusses influence brought by oversea listing. And in the last part of thepaper, we will give advice to the middle-size and small-size enterpriseaccording to analysis of problems and difficulties they face during abroad-list.
