It is always the difficult problem for the state-owned enterprise to innovate the management mechanism and the stimuli mechanism. The Employee Stock Ownership Plan is a system that the employees could own stocks of the corporation through the reform of the property rights. And it can efficiently combines the profits of the employees and the corporation together, which extends a great significance to the establishment of valid management mechanism and the stimuli mechanism, to the motivation of employees' positivity and initiative, to the acceleration of the harmonious development of both the corporation and the employees, and to the ultimate realization of the aim of the state-owned enterprises' development.First, the thesis introduce the background and significance of the subject . Then it elaborates the theory and practice of the Employee Stock Ownership Plan . The thesis use the Golden Ground Group as an example to study how to implement the Employee Stock Ownership Plan. It includes the analysis for the causes, plan making, performance evaluation and existing problems analysis. Finally , the thesis summarizes the experiences and lessons from the Golden Ground Group, analyze the significance for other SOE and point out theEmployee Stock Ownership Plan shoud be implemented conditionally in SOE.
