Along with the continuous development of China’s economic system, people’s living standard continuously improve at the same time, the enterprise also obtained the development of healthy, efficient. Enterprises to maintain such a good development trend from the root, then to establish three systems, these three systems including internal business operating system, enterprise control system, enterprise information management system. Among them, the operation system is the foundation to promote the smooth development of enterprises and the operation of the internal control system; to keep the enterprise towards the sustainable development direction; information management system can ensure that enterprises in the development process can be rational and efficient operation. Including the characteristics of enterprise division boundary point, enterprises and the concept of governance of Enterprise Inc, so as to build a good theoretical basis of enterprise internal control system.The third part mainly on the TY company’s internal control situation analysis, find out TY company in the internal control problems, and the problems were cause analysis.The fourth part of the dissertation is the design and research of TY company’s internal control system, including the process of internal control system design of TY company to carry on the analysis, design and reconstruction of the TY company’s internal environment, the human resources of the internal Confucius design, design and supervision of internal control design of the internal control of financial department as well as the construction and design of internal control, logistics department.Study on the content of the fifth part is the safeguard measures of internal control system of TY company.
