Research Legal Issues Of Foreign Mergers And Acquisitions Of State-owned Enterprises

As the main way of international direct investment, foreign mergers and acquisition (hereafter foreign M&C) has developed rapidly in the past decade. Foreign M&C of state-owned enterprises involves many issues; the thesis is focused on the study of national security review, loss of state-owned enterprises, protection of employee's rights and interests. The full-text is divide into five parts, the first chapter has a summary of practical situation of foreign M&C, the following three chapters respectively describes existing law and its defects in the above-mentioned aspects and outlines European Union's relevant laws and regulations, according to actual situation in our country, referring foreign relevant countries laws and regulations, the last chapter put forward suggestions of building national security review system, preventing the loss of state-owned assets and strengthening the protection of employee's rights and interests.
