Since late 1980's, transnational merger and acquisition (M&A) has become a world trend and the major Foreign Direct Investment means of transnational corporation. With the era of global economy, knowledge economy and information technology's coming, opening levels of market in every country are being upgraded continuously, thus the market of China, which is big and has great potentialities, has been has and will continue to be the focus of transnational corporations. Since 1990's,foreign capital's entering China by M&A has been an important trend of Foreign Direct Investment in China, which inevitably made positive and negative influence on our economy.To start with the situation of transnational merger and acquisition and process of Chinese reform of enterprises owned by state, analysis of the act of foreign investors'M&A of enterprises owned by state after accessing the WTO, the author focuses the study on regulations of foreign investors'M&A of enterprises owned by state after accessing WTO. This study is based on the lessons of foreign investors'M&A in China and the comparative study of foreign countries'regulations of the practices of foreign investors'M&A. It includes developed and developing countries, such as America, Japan, Germany, South Korea and Philippines, etc. This thesis consists of four sections. The introduction section refers to the aim and meaning of this thesis by analyzing the general trend of transnational and the political background of inducing foreign capital to take part in M&A of enterprises owned by state at present.The first section mainly talks about the basic theories of foreign investors'M&A of enterprises owned by state.
