Legal Analysis Of State-owned Corporate Governance Structure

This thesis begins with redefinition of state-owned enterprises under market economy, and continues to analyze several definitions of state-owned enterprises. I followed the method of proportional analysis of holding, giving attention both to absolute holding and to relative holding.The major focus of my thesis falls on the discussion of managerial structure of state-owned enterprises, more specifically, on the discussion of managerial structure of state-owned enterprises since their re-structuring according to Company Law. To ensure my analysis a well-grounded argumentation, I first introduced the concept of managerial structure. At last, I came to the analysis of managerial structure of state-owned enterprises in China.The whole thesis includes four parts. Part one focused on the discussion of origin of state-owned enterprises. It started by a comparison between the definitions of state-owned enterprises abroad and those in China. After the comparison, I came to a summarization of definitions of state-owned enterprises in China.In part two, I made clear several understandings about the concept of managerial structure. In the third part, I analyzed the development and the status quo of managerial structure in China and its deficiencies. Part four placed it emphasis on presenting some suggestions of my own in improving the deficiencies I had disclosed in the previous part.
