Early in the 1970s and 1980s the research on corporate governance was regarded. Since two years ago a series of finance scandals of famous companies of America erupted. It has been the focus of attention in the world. In China, corporate government is an urgent issue at the turning stage of capital market.Corporate government relates to different questions. The subject of the dissertation is the analysis the problem of corporate governance in China from the point of ownership structure. There are mainly three issue. (1) The impacts of the ownership structure on the governance mechanism and how they take place. (2) The different characteristics of corporate governance in the different ownership structures. (3 ) How to adjust the ownership structure to improve the corporate governance.This paper includes four parts in context, the first part is mainly about the concepts of the corporate government, the ownership structure and the relation of them; in part two the major patterns of corporate government in the developed world are discussed, and form the discussion some useful ways have been revealed. The third part focuses on the analyses of the deficiencies and problems of corporate governance, which exist in the present Chinese enterprises. Base on the above studying, the last part gives some suggestions about how to adjust the ownership structure and to improve the corporate governance.
