This paper is concerned with the motivation and restriction issue of the managers in state-owned enterprises(SOE). With the historical evolution of the leadership mechanism in state-owned enterprises and the case of NO. 2 Bureau of China Railway Group as the example, the paper provides introduction and analysis on SOE leadership system and the motivation and restriction mechanism for SOE managers in accordance with different periods after the establishment of P.R.C. In order to provide reference for setting up modern SOE leadership system—"juridical person" system, the paper also introduces the leadership system situations of state-owned or private enterprises in foreign countries, and makes comparison of motivation and restriction mechanism between China and foreign countries. Finally, this paper indicates existent various problems that need much more attention in improving leadership system and motivation and restriction mechanism for SOE managers.This paper breaks through the idea about the motivation and restriction mechanism for SOE managers in many modern theses that are separated from the factual history and practice in China, but confined to European and American design project. The author looks at the leadership system and motivation and restriction mechanism for SOE managers in different periods from the angle of historical evolution, which belongs to modern history of Chinese economy and to that of modern Marxism economical theory. The problem under discussion are practical and based on China's present situations. The description analysis on the historical evolution of SOE leadership is a very important theoretical problem in the process of Chinese socialist economic building, and this description analysis works as an example for present SOE reforms. The author digs into NO. 2 Bureau of China Railway Group which was set up in 1950, interviews relevant people, consults lots of historical documents, and refers to annuals of NO. 2 Bureau of China Railway Group. With these adequate documents, the author analyzes the historical facts with historicism. Therefore, the research departure is brand-new, but the author's conclusion does work.
