Study On The Establishment Of A Standardized Corporate Mergers And Acquisitions Mechanisms

As an economic phenomenon, company M&A has aroused great attention in the world. The motives of enterprise M&A , the overall designs of enterprise M&A and the strategies of the Chinese enterprises should become a question for study. As a complex systematic project, the company M&A not only involves enterprise development strategies ,but also involves financial accounting , human resources , laws and regulations, and so on. We must have overall and elaborate analyses and studies when we design a M&A plan. In this thesis, the writer examines the history and the theories of enterprise M&A and points out the problems facing the current enterprise M&A and puts forward an overall feasible idea including the establishing of the starting using mechanism of enterprise M&A , stockholders rights and interests protection mechanism , creditors rights and interests protection mechanism, staff and workers rights and interests protection mechanism and the law safeguarding mechanism, etc.
