As the rapid development of Chinese economy and the rigid competition of the world market, the manufacturing enterprises are gradually decline in profit margins. Especially as the biggest domestic economic, More and more small and medium enterprises are facing this situation。In order to ensure the stability of enterprises and high-speed growth, enterprise strategy and business strategy based on industrial restructuring frequently access to people's vision. In this international competition, small and medium-sized enterprises must jump out of the original operating mode of the enterprises. In the new environment, new situation, adopting a more close to the new international economic operation and management mode and establishing their own development needs in line with the strategic planning can be dangerous in today's turbulent economic environment everywhere continue to develop and grow gradually expand.In this paper, firstly, through the analyzing of development of the status quo and problems of the future development trends and market prospects, the TG (Tiger)Group in recent years the opportunities and challenges encountered in such issues as strategic planning and merger and reorganization are studied. TG Corporation of the existing product mix, marketing channels, customer market is analyzed. Combing the small and medium-sized enterprises, the actual situation of transition of future development is explored, the direction for the current TG Corporation for 3 years the main business income stagnation is found. TG Group in the strategic restructuring of the embodiment of new value and expected outcome is also analyzed.In this paper, the practice of research is the base, and the basic theory can be taken account too. Combing of China's small and medium-sized M & A cases, we analyze the motives of M & A, corporate value, corporate strategy, mergers and acquisitions of specific methods and general procedures, as well as the post-merger the reorganization of series-depth discussion of issues. To expect standing the corporate strategy level, the merger and reorganization of enterprises a significant impact on strategic planning for China's small and medium enterprises are illustrated.
