| Under the environment of market-oriented economy at present,the merger and acquisition of corporations have been more and more drastie as an advanced form of capital operation.But m&a has two sides beneficial and risky.m&a risk is the Possibility that can't fulfill the expected profit and that influences the normal enterprise operation.This paper first reviews the research literature on m&a,and a theory of risk at home and abroad on m&a is analyzed and summarized. The scope of study in this paper is the risk of China's listed companies m&a. this paper starts from explanation of the concept and the prevention theory for enterprise m&a,and analyse a general risk source during the entire process on m&a,then this paper makes clear of degree of risk by combining Fuzzy set theory with the AHP fuzzy comprehensive evaluation method and using three fuzzy synthetic evaluation.According to the evaluation of investment risk,we can be to propose appropriate preventive and control measures. There are such proposals of operate, business integration, cultural integration, and human resources.This research method is mainly qualitative analysis and quantitative analysis combined in this paper. To be from China's listed company as a research object and to analyse risk around this hot issue. Under studies of the predecessors of the m&a,combining with the latest amendments in our country's laws and regulations,this paper further analyse of all aspects of mergers and acquisitions into the sources of risk, as well as issues such as prevention and control measures. In addition, the absorption of the latest scientific research results will be useful to incorporate ideas into this article, the article will reflect the reality and future-oriented, and strive to have my own innovations.This paper on how to prevent the risk from corporate m&a makes a number of its own views and ideas,so that supports a view to China's listed companies mergers and acquisitions on how to identify sources of risk, measuring risk, and to avoid the risk of mergers and acquisitions, which would promote China's economic development. |
