With the technology developing more quickly and products'life cycles becoming shorter as well as the business competition growing more turbulent, the operation environment for most enterprises has changed dramatically. Therefore, it is important for enterprises to innovate in good time in techniques and products in order to survive and develop in the new era. In the past it was emphasized to innovate inside, but nowadays more and more people have realized that the knowledge-creation only depending on interior limited resources is bound to encounter new challenge. With the development of strategic alliance, more and more people begin to accept the idea of cooperation. We can see the application of strategic alliance in the value chain, being a new innovational organizational mode. R&D alliance is the most important research area.Firstly, based on the theory of R&D and strategic alliance, and the standard of the relationship between partners whether being kept independently or not, the thesis clarifies the concept of the R&D alliance. Then we summarize the transactional economics,resource-based view and organizational learning theory as the theory stone for inducement of R&D alliance formation. Then this thesis analyzes R&D alliance's basic characters and regional characters. At last, we explore the R&D alliance's two different formation process, emergent process and engineered process. We can get two different kinds of R&D alliance, exploitative R&D alliance and explorative R&D alliance, adding new variables for R&D alliance's organizational mode.
