Recently our state assets administration system's reform has achieved great breakthrough. State-owned economics' arrangement and structure's adjustment have made great progress. State-owned enterprises' reform become deeper and their benefits rise sharply. As the big state-owned enterprises' joint-stock reform goes ahead there are many investment bodies. The mixture of state assets and collectivity assets and private assets is taking place.In market economics enterprise's internal supervision is mainly, so the board of supervisors comes to birth. The board of supervisors in our state-owned company not only protects all owners' benefit but also makes sure that state assets stay and increase. But the fact is that there are lots of problems exiting in state-owned companies because of belief and economical system and design of system. The board of supervisors doesn't work very well.To settle these problems I analyze the actuality and cause of our board, and compare it with other supervising systems in the world, and I provide a reform model hoping to help our company's reform. In the paper I use some researching methods, such as history analysis method, comparing method and concluding method etc.There are four parts in the paper:The first part: I define the concept of board of supervisor, and then use five theories to analyze the concept.The second part: I recall the history of the board, and then point the problems of board, at last conclude the reason in theory, belief and system.The third part: I introduce three typical company internal supervising systems. I think we can absorb good things from those systems. The fourth part: it's the most important part of the whole paper. I put forward the objective model about our state-owned company, and this is my creative point.
