The solely state-owned Holding company is an innovative form in the management system of China's state-owned assets; it lies in the center of the entire system, and plays a key role in guaranteeing and increasing the value of state-owned assets. However, as the separation of government and enterprise, enterprise's autonomy continues to expand, how to safeguard the state-owned assets, how to effectively check and balance "internal control" becomes the key issue. The board of supervisors has shouldered the responsibility of monitoring and safeguarding the rights and interests of state-owned assets since from its birth, but in reality, it did not achieve the desired effect. In such a context, how to play the board of supervisor's role effectively becomes more significant.This article takes the board of supervisors of solely state-owned holding company as the object of study, aiming to design a set which can display the board of supervisor's role effectively. Through a series of systematic analysis, this article mainly obtains the following results:Firstly, on the basis of theoretical analysis, analyzed the theory root why the board of supervisors of solely state-owned holding company set up.Secondly, based on the research of massive materials as well as investigation, systematically analyzed the board of supervisors' present situation, achievements and problems.Thirdly, originally designed the model:" take straightens out the internal and external relations as the foundation, take strengthens the internal management as the realizing method, take strengthens the supervision effect as the core goal". This model will provide a reference to improve the institutional system of board of supervisors as well as carry out board of supervisors' surveillance function earnestly.
