State-owned enterprises (SOEs) reform and restructuring have been a hot topic of research for many years in the economic field of China. However, in this dissertation, it's found that a lot of studies on SOEs reform and restructuring had been made,few of them was related to those SOEs which belong to public institutes. So this dissertation put emphasis on reform and restructuring of these kinds of SOEs in example of Beijing Huanong Agricultural Engineering Consulting and Designing Ltd (BHAECD).Firstly, the history, present situation and main problems of SOEs reform and restructuring in China were analyzed, and four kinds of models of SOEs reform and restructuring were achieved. Secondly, the necessity of research on SOEs reform and restructuring was discussed, in term of three issues such as social market economic system, national assets management and the development of enterprise itself. The reform draft was designed after the analysis on the main problems and characteristics of BHAECD, including reform model, stockholder structure, and innovation of production operation and circumvention risk. Thirdly, a set of evaluating system was built on basis of methods made by related government departments. Then the productivity performances of BHAECD were evaluated. Some factors for productivity performances of BHAECD were calculated and the effect of reform and restructuring on productivity performances of BHAECD were analyzed. The results indicated the success of reform and the necessity of modern enterprise system for engineering consulting companies. The suggestion of reasonable registered capital for main work of enterprise was also made. Finally, the conclusions were drawn. The further research on reform policies and encourage measurements were put up with as well.
